What are the Jonas Group’s acquisition criteria?

We invest in a broad range of Vertical Market Software (VMS) brands, but the commonality is that they all have a dedicated team and a shared passion for delivering excellent customer experiences.

How long will the sale process take?

We have completed over 1,000 acquisitions globally, so we know how to run a smooth process. We are self-financed and complete all of our own in-house due diligence, meaning we are not reliant on third parties which can impact the timeline. We typically work to a 60-day plan from the point of signing an LOI to deal close, but we can move as quickly or as slowly as you would like.

How does Jonas Europe’s M&A team assist in the acquisition process?

Our M&A team is made up of experienced professionals who have spent years navigating the acquisition process. Your dedicated contact will work closely with you to gather initial information, guide you through due diligence, and answer any questions along the way. Their focus is on supporting you at every stage, ensuring a smooth and transparent process.

How do you identify potential acquisition targets that align with my business goals?

We are generally seeking cash positive vertical market software companies serving niche markets. These should have a growth strategy that is supported by historical success. If this is you, our team would love to hear from you.  Our M&A team is dedicated to the discovery of amazing software businesses like yours!

What is the typical M&A process, from initial assessment to closing the deal?

We like to be as efficient as possible, but we do appreciate you have a business to run as well. We will request some limited information from you to aid our understanding of the business, create a valuation, which if acceptable will allow us to write a Letter of Intent (‘LOI’) which outlines the deal shape. From there, we will enter the due diligence phase which we can complete quickly, working at your pace to get to a point of acquiring. We use all our own in-house teams, and will help walk you through the process, focussing on the big stuff. Initially it is financially driven, needless to say we are really interested in your tech and more importantly your people, and will get to understand those key elements of your business as we work through diligence.
